I Built a Free Contract Diff Tool with Automatic Risk Detection

TL;DR: Contract Diff is a free, browser-based tool that shows you exactly what changed between two contract versions — and automatically flags 16 types of risky clauses. No uploads, no account, no backend.

The Problem

You've been there: a client sends a "revised" contract. You do a quick scroll, nothing looks obviously different. You sign it.

Three months later you're in a dispute and discover they quietly removed the payment timeline clause, changed the IP ownership terms, and added a non-compete you definitely would have negotiated.

Manual contract review is tedious. Diffing two 15-page PDFs by eye is nearly impossible. And most lawyers charge $200+/hour just to tell you what changed.

What Contract Diff Does

Side-by-Side Diff

Paste your two contract versions. Contract Diff uses the Longest Common Subsequence (LCS) algorithm — the same approach used in Git's diff command — to show you exactly what was added, removed, or modified.

  • 🟢 Green: added text
  • 🔴 Red: removed text
  • ⚪ White: unchanged

The diff is computed entirely in your browser. Your contract text never leaves your machine.

Automatic Risk Detection

This is the part I'm most proud of. Contract Diff scans the full text for 16 categories of risky clauses:

Risk TypeWhat to Watch For
Unlimited Revisions"unlimited revisions", "as many changes as needed"
Missing Payment TermsNo mention of payment schedule or due dates
No Kill FeeProject can be cancelled with no compensation
Broad IP Ownership"all work product", "any derivative works"
Non-CompeteEmployment restrictions post-project
Unlimited Liability"liable for any and all damages"
Unilateral ChangesClient can modify scope without your agreement
Vague DeliverablesScope described in vague terms
Auto-RenewalContract auto-renews without notice
One-Sided TerminationOnly the client can terminate
No Dispute ResolutionNo mediation/arbitration clause
Missing Governing LawWhich jurisdiction's law applies?
Confidentiality OverreachCan't mention the project exists
ExclusivityYou can't work with competitors
Payment on Acceptance"payment only upon client approval" — be careful
No Late FeeInvoices can sit unpaid indefinitely

Each detected risk is highlighted in the document and explained with a brief note. You get a risk summary at the top.

Who It's For

Primarily:

  • Solo freelancers — getting a contract from a client and want a quick sanity check
  • Small law firms (1-5 lawyers) — need a lightweight diff tool for contract negotiations without enterprise software
  • Legal operations freelancers — contract review work where speed matters

Technical Implementation

The diff algorithm is a pure JavaScript LCS implementation — no libraries, no dependencies. The risk scanner is a pattern-matching system with 16 regex-based rules.

The whole thing is a single HTML file. You could save it offline and use it without internet access.

File size: ~35KB
Dependencies: none
Backend: none
Data sent to server: none

Limitations

This is a text-based diff tool. It works best on:

  • Plain text contracts
  • Copy-pasted contract text from Word/Google Docs/PDFs

It does not handle:

  • Formatting differences (only content changes)
  • Scanned PDFs (no OCR)
  • Complex document structures (tables, footnotes)

The risk detection is pattern-based, not semantic. It can produce false positives. It's a first-pass tool, not a replacement for a lawyer's review.

Try It

→ contract-diff.html — Free, browser-only, no signup.

The tool is especially useful when a client says "just a few minor changes" — paste both versions and see for yourself.
